Constitution
Article I – Name
The name of this organization shall be the Moose Boosters Wrestling Club.
Article II – Purpose
Moose Boosters Wrestling Club is a non-profit organization established exclusively for charitable and educational purposes within the meaning of section 501(c)3 of the Internal Revenue Code (IRS). Moose Boosters Wrestling Club’s he specific purpose is promoting and fund raising for youth sports wrestling. Moose Boosters Wrestling Club is eligible under Alaska Statute (AS) 43.23.062 to be included on the list of educational organizations, community foundations, and charitable organizations to receive charitable contributions as designated by current or future Alaska Permanent Fund Dividend (PFD) applicants through electronic filed permanent fund dividend applications.
Article III – Membership

Membership in the Moose Boosters Wrestling Club shall consist of anyone who is interested in promoting wrestling in the Palmer area and who attends and participates in the meeting and activities of this organization.

Members in good standing are those who attend and participate in the meeting and activities of this organization.
Article IV – Meetings

Regular monthly meetings shall be held the first Thursday of each month at the hour of 6:30 pm, or at such other time and place as may be mutually agreed upon by the members of the Board of Directors.

The annual meeting shall be held in March for the purpose of electing the Board of Directors and officers, and to conduct such other business as may come before the meeting.

Meetings of the organization and the Board of Directors may be cancelled or changed at the discretion of the Board of Directors.
Article V – Officers and Directors

The officers of this organization shall be a President, Vice President, Secretary, Treasurer, and such additional officers as may be provided in the bylaws.

The governing body of this organization shall be a Board of Directors composed of the President, Vice President, Secretary, Treasurer, and Members-at-Large whose number shall be determined by this organization. All members of the organization shall have only one vote.

Election of officers shall be by methods compatible with local customs and procedures, but in no case shall more than a simple majority of the members present and in good standing be required for election.

There shall be a minimum of three and a maximum of eleven members on the Board of Directors.

Terms of office run from March 1 to February 29. There are no term limits.

The officers and the Board of Directors of the organization are not personally liable for the debts, liabilities, and other obligations of the organization.
Article VI – Bylaws and Amendments
This organization may adopt, amend, or repeal bylaw, which may be deemed necessary or convenient for the government of the organization.
Article VII – Dissolution
This organization is not organized for profit, and no part of the net proceeds shall be used for the personal profit of any member. Should the organization dissolve, remaining assets, if any, after all debts and obligations of the organization are provided for, shall be distributed to another nonprofit organizations which have established its tax exempt status under IRS Section 501(c)3 that will benefit local high school youth sports.
